VCRUIT.COM TERMS OF USE
Please read these Terms of Use carefully before executing the Video Solutions Agreement. These Terms of Use will become part of your contract with Vcruit.com.
HOW TO CONTRACT: You will receive notice from Vcruit.com if the Terms of Use change. Modified Terms of Use will apply to the next order for Vcruit.com services placed by you. Contracting our services is accomplished by registering with our site and then completing the Vcruit Profile form online. Vcruit.com reserves the right to remove your Profile and all other information from our database and server without any further notice or any liability to you or any third party.
EMAIL COMMUICATIONS: When you sign up online you must provide Vcruit.com with your email address so you may verify your Vcruit.com account and so Vcruit.com may contact you by email if necessary.
HOSTED ADS: If we host your video ad, your video ad will be posted at no additional charge for 60 days. Upon expiration of the initial 60 day posting, you may purchase additional hosting. After 30 days from the date of expiration, Vcruit.com will delete your Profile and your video ad from its server. You agree that Vcruit.com is under no obligation to keep your Profile or your video ad subsequent to expiration. Furthermore, you release Vcruit.com from any and all liability due to its deletion of your Profile and video ad subsequent to expiration. Renewal of an expired video ad must be done within the 30 day period following expiration. After the 30 day period following expiration, you will need to purchase a new video ad. All information in your Profile is provided to Vcruit.com by you. Vcruit.com does not inspect your Profile, which includes your resume, for completeness or accuracy. You are responsible for reviewing all of the information contained within your video ad. Vcruit.com does not review the information to make sure it is correct and is not liable for any errors or any information that you provide.
CONTENT: Vcruit.com reserves the right to remove any picture or video that Vcruit.com in its sole discretion deems to be offensive such as, but not limited to, material that is defamatory, vulgar, profane, racist or protected by a copyright, trademark or other intellectual property law. Notwithstanding this right to remove objectionable material, Vcruit.com has no obligation to do so.
AGENCY DISCLAIMER: Vcruit.Com is not and advertising agency and does not represent itself as such. Vcruit.com makes no claim to distribute customer video ads beyond its own website.
INDEMNFICATION: Vcruit agrees to defend, indemnify and hold you harmless from and against any loss, expense, cost, liability or judgment (including attorneys fees) arising out of any third party claim for relief proximately caused by any negligent, unlawful or illegal act or omission of Vcruit. You agree to defend, indemnify and hold Vcruit harmless from and against any loss, expense, cost, liability or judgment (including attorneys fees) arising out of any third party claim for relief proximately caused by any negligent, unlawful or illegal act or omission by you.
DISCLAIMER OF WARRANTIES: Vcruit provides a service, not a good. Vcruit.com makes no representations or warranties of any kind with respect to its services, its web site or its content, and Vcruit.com does not make any guarantee you will be hired or find a suitable employee as a result of posting your Profile on our website. Notwithstanding any other statement on the Vcruit.com web site or any statement made by any of its employees or agents, Vcruit.com makes no warranties of any kind, either express or implied, including, but not limited to, any warranty of completeness, accuracy, reliability or availability of information or material stored by Vcruit.com or otherwise available through Vcruit.com. Vcruit.com's services and everything on its web site is provided to you "as is" and "as available." Vcruit.com does not warrant that its web site is free of viruses or other harmful components that may affect your computer. Access to information on the Vcruit.com web site depends upon operation of Internet and telecommunications facilities which are not owned or controlled by Vcruit.com. Vcruit.com therefore assumes no liability for any transmission delay, service interruption, data corruption or other problem connected with accessing the Vcruit.com web site. Vcruit.com disclaims all representations and warranties, including, for the implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE and NON-INFRINGEMENT. In addition, no information, whether oral or written, obtained from you by Vcruit.com or its agents or employees shall create any warranty not expressly made in these Terms of Use. If any applicable authority holds any portion of this section to be unenforceable, then warranties will be disclaimed to the fullest possible extent permitted by applicable law.
DISPUTE RESOLUTION: The laws of the State of North Carolina (without regard to conflicts of laws principles) shall apply to the construction, interpretation and enforcement of your contract with Vcruit.com.
We will try to resolve any problems or issues that you may have with our services or organization. If, we are unable to reach a mutually satisfactory resolution, each of us agrees that any dispute or controversy between us shall be resolved as follows:
a. Collections of Sums Due Vcruit.com. If you owe Vcruit.com money, you and Vcruit.com agree that North Carolina has personal jurisdiction over you for purposes of being able to collect what is owed by resort to its courts. The federal and state courts of North Carolina shall be the exclusive venue for such collection actions.
b. Infringement. If you have violated or threatened to violate Vcruit.com’s intellectual property rights, and Vcruit.com may seek injunctive or other appropriate relief in any state of federal court in the State of North Carolina, and you consent to exclusive jurisdiction and venue in such courts for such purposes. In the event you owe Vcruit.com money but fail to pay Vcruit.com what you owe, you agree that if Vcruit.com hires an attorney to collect the sums due and owing under your contract with Vcruit.com, you will also pay Vcruit.com its reasonable costs of collection, including its attorneys fees.
c. All Other Disputes. We agree that any dispute between us arising out of our contract or Vcruit.com's provision of services to you (other than those referenced in a. and b. above) shall be submitted to mandatory binding arbitration. The venue for such arbitration shall be a location to be selected by Vcruit.com provided, however, such location is within two hundred fifty miles of your home or one of your business offices. Arbitration under this agreement shall be conducted under the rules then prevailing of the Federal Arbitration Act. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this agreement shall be joined to an arbitration involving any other party subject to this agreement, whether through class arbitration proceedings or otherwise.
TERMINATION POLICY: You agree that Vcruit.com may terminate your services for failure to pay or breach of any other obligation set forth in your agreement with Vcruit.com. You agree that Vcruit.com may terminate your Profile and your postings in the event that it is notified that your practices or the content of any posting are reasonably determined to be a likely violation of any Federal, State or local law. You agree that Vcruit.com may restrict or terminate your use of its web site or any other service of Vcruit.com for any reason, with or without notice to you. Vcruit.com shall not be liable to you or any third party for any claim or cause of action arising out of such termination, restriction, modification or discontinuance.
REFUND POLICY: You will have 48 hours (two business days) from the date your video ad is first published to exercise your 100% satisfaction guarantee. After 48 hours, you will not be entitled to a refund.
